Outside Officers

JACCS's Independent Outside Directors make decisions at board meetings and supervise other directors based on their extensive experience and specialized knowledge. Furthermore, to ensure the objectivity and transparency necessary for our proper governance, we believe it is desirable for Outside Directors and Outside Auditors (hereinafter referred to as “outside officers”) to possess independence to the greatest extent possible.

Therefore, we have established the ‘Independence Standards for Outside Officers’ for our outside officers and disclose their content. Furthermore, we hold meetings composed solely of outside directors to discuss matters related to our business and corporate governance.
2. The Lead Independent Outside Director shall be selected by mutual election from among the independent outside directors serving as members. The Lead Independent Outside Director shall serve as the chairperson of this meeting, facilitate information exchange and shared understanding, and make recommendations to management.
